About these sample terms
These draft terms illustrate a possible business-to-business relationship with Zahra Agro Industries Private Limited for Amsal Foods products. They are for design review only, are not binding and are not a substitute for an approved signed agreement.
Applications and appointment
Submitting an enquiry does not create an appointment, reserve a territory or authorise use of the Amsal name. Any appointment requires written approval, verification and a signed agreement defining scope.
Territory and exclusivity
The sample arrangement is non-exclusive. Products may be sold only in agreed territories and channels. Exclusivity, performance targets and sub-distributor rights apply only when expressly agreed in writing.
Orders and product specifications
Sample opening order: 20 mixed cartons; reorder: 5 cartons. Sample carton: 48 × 50g packs. Orders are subject to acceptance, stock and final SKU specifications. An enquiry is not an accepted purchase order.
Prices, taxes and payment
Sample trade price: PKR 120 per 50g pack, excluding delivery and applicable taxes. Prices require a written quotation. The first three orders are paid in advance in this illustrative model; credit requires separate written approval. No payments are collected in this preview.
Delivery and inspection
The illustrative dispatch target is 3–5 business days after cleared payment and order confirmation. Freight, delivery destination, risk and title transfer must be stated in the accepted order. Inspect deliveries and report shortages or visible damage within a sample period of 48 hours, with photographs and batch information.
Storage, shelf life and traceability
Maintain clean, dry storage and follow the actual product label, batch date and expiry information. The sample 18-month shelf life is unverified. Rotate stock by earliest expiry, retain traceability records and do not relabel, alter or sell expired products.
Returns, quality concerns and recalls
Returns require written authorisation. The sample model permits review of damaged, incorrect or defective deliveries; it does not promise returns of slow-moving stock. Report suspected food-safety concerns promptly, isolate affected stock and cooperate with any recall instructions.
Marketing and brand use
Use only approved Amsal assets within the agreed relationship. Do not change packaging, make unsupported health or certification claims, register brand domains or represent yourself as the company. Approval may be withdrawn when materials are inaccurate or the relationship ends.
Compliance and imports
Each party must meet applicable food, business and trading requirements. Importers must confirm destination rules, labelling and documentation before ordering. The final agreement must allocate responsibility for permits, customs, duties and product registrations.
Confidentiality and enquiry data
Use confidential commercial information only for the agreed business purpose and share it only with authorised personnel. The production enquiry flow must explain data use, recipients, retention and privacy rights in an approved privacy notice. This preview sends no form information.
Strategic and investment discussions
A strategic enquiry does not create an investment commitment, partnership, agency or joint venture. This page offers no securities, guaranteed returns or deposit-taking facility. Any investment process requires separate legal review, due diligence and definitive documentation.
Duration and termination
Sample arrangement: 12 months, reviewed before renewal. Either party may propose termination with 30 days’ written notice; serious breach or food-safety issues require immediate review. The final agreement must specify unpaid balances, remaining stock, brand-use cessation and continuing confidentiality obligations.
Liability, disputes and governing law
The final agreement must define lawful liability limits, exceptions, dispute escalation, governing law and the competent forum. Pakistan is the proposed starting jurisdiction, subject to legal review and the relevant trading entity and market. Mandatory rights and duties cannot be excluded by these sample terms.
